These Terms & Conditions ("Terms") govern your use of the Runpoint Solutions website and services provided by Runpoint Solutions ("Runpoint Solutions," "we," "us," or "our").
By accessing our website, requesting services, purchasing services, or entering into an agreement with Runpoint Solutions, you agree to these Terms where applicable.
1. Services
Runpoint Solutions provides business technology and consulting services that may include:

- Website hosting assistance
- Domain configuration

- Microsoft 365 solutions
- Inventory management solutions
- Scheduling and booking system implementation
- Software and platform integrations

- Maintenance
- Other related business technology services
Specific services, deliverables, pricing, responsibilities, and timelines may be described in a separate quote, proposal, statement of work, service agreement, or other written agreement.
If a project-specific agreement conflicts with these general Terms, the project-specific agreement will control with respect to that project.
2. Quotes and Pricing
Prices displayed on our website or discussed during consultations may be estimates unless expressly identified as final.
Final pricing may depend on project scope, complexity, third-party services, integrations, requested features, implementation requirements, and ongoing support requirements.
Additional work outside the originally agreed scope may require additional fees.
3. Payment
Payment terms will be provided when services are purchased or agreed upon.
Depending on the project, Runpoint Solutions may require deposits, milestone payments, recurring service fees, or full payment before work begins or before final deliverables are transferred.
Failure to make required payments may result in suspension or termination of services where permitted by the applicable agreement and law.
Client obligations to pay amounts already earned or incurred may survive termination.
4. Third-Party Costs
Certain services may require third-party products or subscriptions, including:
- Domain registration
- Website hosting
- Cloud infrastructure
- Microsoft 365 subscriptions
- Scheduling platforms
- Software licenses
- APIs
- Email services
- Payment processing services
- Plugins
- Other third-party platforms
Unless specifically included in a written agreement, these costs are the client's responsibility.
Third-party providers may change their prices, features, policies, availability, or terms independently of Runpoint Solutions.
5. Client Accounts and Ownership
Whenever practical, accounts, domains, subscriptions, and other business-critical services intended to remain with the client should be established under accounts that can ultimately be owned and controlled by the client.
Runpoint Solutions may temporarily configure or administer these systems on the client's behalf.
Clients are responsible for maintaining accurate account information and securing passwords, authentication methods, recovery information, and administrative access after control is transferred to them.
6. Client Responsibilities
Clients agree to provide accurate and timely information reasonably necessary to complete their project.
Clients are responsible for:
- Providing required content, information, credentials, and approvals
- Ensuring they have legal rights to materials they provide
- Reviewing deliverables
- Testing systems where appropriate
- Maintaining appropriate backups where applicable
- Maintaining account security
- Obtaining necessary licenses and permissions
- Complying with laws applicable to their business and use of the delivered solution
Project timelines may be extended when required information, content, access, feedback, or approvals are delayed.
7. Third-Party Platforms
Many Runpoint Solutions services rely on third-party platforms and infrastructure.
Runpoint Solutions does not control these providers and cannot guarantee their continued availability, pricing, functionality, compatibility, performance, or security.
We are not responsible for outages, policy changes, account restrictions, discontinued features, API changes, price increases, security incidents, or other problems caused primarily by independent third-party providers.
We may assist clients in resolving third-party issues when included within the applicable service arrangement.
8. Websites and Digital Services
Runpoint Solutions may design, configure, deploy, host, or assist with websites and other digital services.
Unless specifically guaranteed in writing, we do not guarantee uninterrupted operation, a specific amount of website traffic, search-engine rankings, sales, leads, conversions, revenue, or other business results.
9. Automations and Software Systems
Automated systems can fail because of software updates, API changes, expired credentials, permission changes, third-party outages, incorrect data, user actions, or other technical conditions.
Clients should maintain reasonable oversight of business-critical automated processes.
Runpoint Solutions does not guarantee that any automation, integration, website, application, or technology system will operate without interruption or error indefinitely.
10. Artificial Intelligence
Some current or future Runpoint Solutions services may incorporate artificial intelligence or machine-learning technologies.
AI-generated recommendations, summaries, forecasts, classifications, or other outputs may contain errors and should not automatically be treated as professional, legal, medical, financial, or other specialized advice.
Clients remain responsible for reviewing AI-generated outputs before using them for significant business or operational decisions.
11. Healthcare Services
Runpoint Solutions may provide technology and operational services to healthcare organizations.
Runpoint Solutions does not provide medical advice, diagnosis, or treatment through its general technology and consulting services.
Technology provided by Runpoint Solutions should not be relied upon as the sole mechanism for making medical or patient-care decisions unless specifically designed, validated, and contracted for such use.
Services involving protected health information or other regulated healthcare information may require separate agreements and safeguards.
12. Intellectual Property
Unless otherwise specified in writing, Runpoint Solutions retains ownership of its pre-existing intellectual property, reusable templates, general methods, processes, frameworks, automation structures, know-how, libraries, and tools.
Clients may receive ownership or usage rights to project-specific deliverables according to the applicable project agreement.
Client-owned trademarks, logos, content, data, and other materials remain the property of the client or their respective owners.
Runpoint Solutions does not claim ownership of client data merely because the data is processed through a system we configure or support.
13. Portfolio Use
Unless prohibited by a written agreement or confidentiality obligation, Runpoint Solutions may identify a client as a customer and display non-confidential examples of completed work for portfolio, demonstration, or marketing purposes.
Sensitive, confidential, proprietary, or regulated client information will not be intentionally displayed for these purposes.
Clients may request in writing that their project not be publicly displayed.
14. Confidentiality
Runpoint Solutions will use reasonable care when handling confidential client information.
Additional confidentiality requirements may be established through a separate nondisclosure agreement, service agreement, business associate agreement, or other written contract.
15. No Guarantee of Results
Runpoint Solutions provides technology and consulting services intended to improve business operations, but results vary depending on numerous factors outside our control.
We do not guarantee specific increases in revenue, profitability, efficiency, customers, website traffic, inventory savings, productivity, or other business outcomes unless a specific guarantee is expressly provided in writing.
16. Service Availability and Maintenance
Systems may occasionally be unavailable because of maintenance, updates, technical failures, third-party outages, security events, or circumstances outside our reasonable control.
We may modify, maintain, update, or discontinue services when reasonably necessary, subject to any applicable service agreement.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNPOINT SOLUTIONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE USE OF OUR WEBSITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNPOINT SOLUTIONS' TOTAL LIABILITY ARISING FROM A PARTICULAR SERVICE OR CLAIM WILL NOT EXCEED THE AMOUNT PAID TO RUNPOINT SOLUTIONS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE PERIOD SPECIFIED IN THE APPLICABLE SERVICE AGREEMENT, OR, IF NO PERIOD IS SPECIFIED, THE AMOUNT PAID FOR THAT PARTICULAR SERVICE.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply in every circumstance.
18. Indemnification
To the extent permitted by law, clients agree to indemnify and hold Runpoint Solutions harmless from third-party claims, liabilities, damages, and reasonable expenses arising from materials supplied by the client, the client's unlawful use of services, infringement caused by client-provided content, or the client's violation of applicable law or these Terms.
19. Acceptable Use
You may not use Runpoint Solutions services to:
- Violate applicable laws or regulations
- Infringe intellectual property rights
- Distribute malware or malicious software
- Gain unauthorized access to systems or accounts
- Conduct fraudulent activities
- Interfere with the security or operation of systems
- Use services for unlawful or abusive purposes
We may suspend or terminate services being used for prohibited activities.
20. Termination
Either party may terminate services as permitted by the applicable service agreement.
Upon termination, outstanding balances remain payable.
Access to systems, data, accounts, or deliverables will be handled according to the applicable agreement and ownership arrangements.
Where applicable and after outstanding contractual obligations have been satisfied, Runpoint Solutions will reasonably cooperate with transferring client-owned accounts, domains, credentials, data, or other agreed assets to the client or another provider.
21. Governing Law
These Terms will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, unless another governing law is required by applicable law or agreed upon in writing.
22. Changes to These Terms
Runpoint Solutions may update these Terms periodically to reflect changes to our services, business practices, or legal requirements.
The version posted on our website with the most recent "Last Updated" date will apply prospectively unless otherwise required by law or agreed in writing.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
24. Entire Agreement
These Terms, together with any applicable proposal, statement of work, service agreement, or other written agreement, constitute the agreement applicable to the relevant services.
